R&D Management Solution Inc. is the owner of the online research and development project and laboratory management software platform and Service, MyManager™, available at http://mymanager.co and http://mymanager.co/app that we market directly or indirectly to end users. By using this website or accessing our MyManager™ Service You acknowledge that You have read, understood and accepted these terms of uses whether You are a registered user of MyManager™ or not.

If You are entering this agreement as a representative of a company or another legal entity. You acknowledge that You have the authority to bind such entity and its affiliates to these Terms of Uses, in such circumstances the terms “You” or “Your” shall refer to that entity and its affiliates.

R&D Management Solution Inc. reserves the right, at our sole discretion, to revise or update the "Terms" at any time. If we do so, we will post the changes on the website. The changes will take effect as soon as they are posted. Your continued use of the Service after any such changes constitutes Your agreement of the revised and modified Terms. It is Your general responsibility to regularly check for any modifications to these "Terms" and to review such modifications as appeared. R&D Management Solution Inc. reserves the right to terminate or withheld access to "Users" at any time with or without cause. If You do not accept either the "Terms of Uses" and/or Privacy Policy, You should not access the website and/or become a MyManager™ client.

Terminology

In these terms of use, the expressions “We”, “Us” and “Our” means R&D management Solution Inc. and its Affiliates.

“You” or “Your” means viewer or user or subscriber to our websites and/or Services.

“Users” means individuals for whom subscriptions to a Service have been purchased, Your authorized individual to use the Services, and who have been received user identifications and passwords from You (or from Us at Your request).

“Website” refers to our websites http://mymanager.co and https://rndlabman.com/mymanager/.

“Service” refers to our websites as well as the online software MyManager™, database storage mechanism, document storage and hosting platform we have provided You on a subscription basis excluding Third Party Applications.

“Account” means the account opened within the MyManager™ Service under Your subscribed name.

“Affiliate” means any entity which is controlled by, or directly or indirectly controls, or is under common control with the subject entity.

“Your data” means all electronic data or information submitted by You to the Services,

“Third Party Applications” means offline software products, web-based applications that are provided by third parties, inter-operate with our Services.

The Privacy Policy of R&D Management Solution Inc. is described elsewhere in the website and applies to Your use of the Service and is considered incorporated into these Terms of Uses. Please read our Privacy Policy to understand how Your personal information will be treated confidentially when You use our Services. Your acceptance of the Terms indicates Your acceptance of our Privacy Policy. We will not be held liable to You for any damages, including, without limitation, direct, indirect, special, incidental, or consequential damages, that may result from any violation of the Privacy Policy.

Account

The Service is intended to the people or entity involved in research and development projects and/or associated with such kind of establishment. Any person older than 18 years and are involved in research can purchase the Service. By registering and using this Service You are acknowledging that You are 18 years or older, and that You agree to abide by all the Terms of Uses and Privacy Policy.

Our Responsibilities

We shall provide You our Services You have selected and purchased through our websites for a maximum period of 1 year unless You have renewed or requested us for renewing Your account for the next period of Services. All purchase will include basic technical supports, which will be administered online from off site. We shall use commercially available reasonable efforts to make the Services available for 24/7/356 except scheduled downtime. We shall use commercially reasonable steps to ensure to minimize such downtime interference to the Service as much as possible. We will not provide any unlawful Services or Services that will violate any applicable laws and government regulations.

We shall not (1) disclose Your information or data except as compelled by law or as expressly permitted in writing by You, (2) modify any of Your information or data unless otherwise required in order to provide the Services (You will get prior notification), or at Your request in connection with customer support issues.

User’s Responsibilities

You agree that You are fully responsible for all of Your account activities. You must immediately notify R&D Management Solution Inc. regarding any security breach or unauthorized uses of Your account if You can identify any. We are not responsible for losses or damages of Your data within Your account. You may be held responsible for situations to R&D Management Solution Inc. or others due to unauthorized use of the Services or violating the Terms of Uses and or Privacy Policy.

You agree that You shall be solely responsible for ensuring the safety and security of the user names and passwords of Your users using our Service, and uses of the Services in accordance with applicable laws and government regulations. You are solely responsible for all the activities and all kinds and forms of data and/or information related to Your account either uploaded by You or others except R&D Management Solution Inc. You agree not to disable, by-pass, temper, or otherwise interfere with security related features of the Services that prevent or restrict unauthorized access or activities in the Services.

You represent, warrant and agree that You shall not (1) make the Services available to anyone other than approved users, (2) sell, resell, lease, or rent the Services, (3) upload, store, post, transmit, or share materials of any kind through the Services that will violate or infringe the rights of any third party, including patent, privacy, copyright, trademark, publicity or other personal or proprietary rights or which are illegal, defamatory, obscene, indecent, violates the rights of others, incites racial or ethnic hatred, harms or threatens the safety of Users or others or may otherwise constitute a breach of any applicable law.

Access

You must take Your own precautionary measures to ensure that the way You access our Services or websites does not expose You to the risk of viruses, harmful programs, malicious computer code or other forms of interference which may damage Your own network or computer system.

Marketing and Publication

You give us permission to use Your laboratory name or company brand in our customer list as published on our websites, and during marketing activities and/or public relation activities. We may approach to You time to time for Your comments and opinions regarding the uses and future enhancements of our Services. We may use these information, comments, opinions, audio, sounds, video, data, picture, graphics in our marketing activities and social activities without prior written consent from You or Your Users.

Fees and Payment

You shall pay all fees and or prices specified in the webpages. Fees are based on Services purchased and not on actual usage. You will provide valid and updated credit card information to the appropriate forms during the purchase processing steps in our websites. The information will be handled and processed by PayPal. We will issue an invoice after the transaction is settled. Payments are one time and non-refundable after the initial 30-day period of registration. The number of users cannot be decreased after the three months of registration. To increase the user number You can upgrade the package at any time by contacting us. New User access will be sanctioned for next remaining period for the contract term (one year or as per your specific contract period).

Taxes

Unless specified elsewhere, our fees exclude any taxes, levies or similar governmental assessments of any class, including but not limited to sales, value-added, use or withholding taxes, assessable by any local, state, provincial, federal or foreign authority (collectively, “Taxes”). You are responsible for paying all taxes related with Your purchases of our Services. If we have the legal responsibility to pay or collect Taxes for which You are accountable, the appropriate amount of total tax shall be invoiced to and paid by You. This will be exempted only if You provide us a lawful tax exemption certificate approved by the appropriate taxing authority.

Refund Policy

If You register for our Services (MyManager™) we will offer You 30-day no obligation full Services with technical supports. If You don’t feel comfortable or not satisfied with our Services You can request for the refund within the 30-day of registration. From 31-day we will not recognize Your refund request. An email or phone request to cancel an account is not a cancellation of the Service. After we will receive Your refund request we will contact You for confirmation of the cancellation request, and as soon as we will get confirmation the 100% payment will be processed for return. 30-day money back guarantee will not applicable for interim upgraded package purchase.

Any data You have entered will be deleted immediately after the termination of the subscription. It is Your sole responsibility to download Your data before the account is terminated.

Intellectual Property Rights

R&D Management Solution Inc. holds all the intellectual property rights (patents, copyrights, trademarks etc.) for all the contents, designs, graphics, logics, calculations, feels, looks, videos, audios, softwares, publications related to the Services.

You shall not (1) allow any third party to access the Services, (2) create or publish or republish derivative works based on Our Services, (3) copy, download, scrape, display, post, transmit, frame or mirror any part or content of the Services, (4) reverse engineer or modify the Services, or (5) access the Services in order to (i) build a competitive or similar or identical product or service, or (ii) copy any features, functions or graphics of the Services as a whole or partially without written permission from the appropriate authority of Resource Management Solution Inc.

You acknowledged, understood and agreed that R&D Management Solution Inc. will own and reserves all the intellectual property rights if any customization or development of any new feature or content or enhancement in our Services is made based on your submission, question, opinion, suggestion, or requirements etc. We shall not need to provide any prior notice to you or to collect further consent from you regarding this issue.

If you download or print a copy of the contents from our websites or application (MyManager™) or from any related sources either digital or print materials for personal or educational use, you must retain all copyright and other proprietary notices contained therein. For business purpose use of any content from our above mentioned properties you must obtain prior written permission from us.

We claim no ownership or intellectual property right over the content that you enter into Your database using Our Services. All those information and contents are Your own property, and R&D Management Solution Inc. or its affiliates are in no way held responsible for any unlawful activities (for example, third party property rights) or information therein. You can handle those data and information at your discretion not violating any legal issues or government regulations.

Third Party Content

All intellectual property rights and title in and to any data or information or services or application of any third party, which may be linked to or viewed in connection with our Services, is the property of the respective titleholder and may be protected by relevant copyright or other intellectual property laws and treaties. This Agreement does not give You any permission to use such data except as approved by such third party. Any exchange of data or information or services or application between You and any third-party provider is solely between You and the relevant third-party provider.

Our Services may contain or otherwise offer access to links Third Party Products (data, information, text, articles, photographs, pictures, graphics, designs, audio, video, applications, promotional material or message, software etc.) and other content or items belongs to or originating from third parties. We do not warrant or support third-party products or services, whether or not they are designated by Us as “certified” or “referred”. Our Terms of Uses and Privacy Policy do not apply to Third Party Products. If you decide to access Third Party Products, you do so at your own risk and responsibilities.

Warranties

We warrant that we shall take commercially reasonable measure to ensure that (1) the Service shall perform substantially in accordance with the built-in features and functionalities , (2) the Services shall not be downgraded by us unless requested by you for the subscription term, (3) we shall not knowingly or deliberately transmit or distribute harmful computer code through our Services, (4) the functionally of the Services will not be substantially reduced during a subscription period, (5) to the best of our knowledge the Services do not, and during the term of the contract, will not violate, infringe or misappropriate third party’s intellectual property and privacy.

Disclaimers

The services, including the website and website contents and any platform applications are provided on an “as is” basis. We disclaims any and all representations and warranties, whether express or implied, including, but not limited to, implied warranties of title, quality, merchantability, fitness for a particular purpose and non-infringement.

Cannot guarantee and does not warrant that the services and website will be uninterrupted or reliable or accurate or complete or error free or the defects will be corrected, or that this website or the servers and networks or any technical media that make it available are free of any virus or other harmful elements. We assumes no responsibility for any error, interruption, omission, defect, deletion, delay in service, data loss, data theft, data destruction, unauthorized access etc. Therefore you should exercise appropriate caution in the use of our services to protect your system and data from putative damages or losses.

Limitation of Liability

In any case our combined liability arising out of or connected to this agreement, whether in contract, tort or under other liability shall not surpass the total fees paid to us by you for uses of our services during the current subscription period, not exceeding twelve months.
In no event shall R&N management solution inc. And its affiliates be liable to you or to the other party for any lost profits or revenues or lost data or lost information or lost opportunity or for any indirect, special, exemplary, incidental, special, consequential, cover or punitive damages however caused, whether or not arising from your use of the site or the services, any platform applications or any of the site content or other materials on, whether in contract, tort or under any other theory of liability, and whether or not we are aware or the party has been advised of the possibility of such damages.

Indemnity

You acknowledge that you shall defend, indemnify and hold R&D Management Solution Inc. and its affiliates, directors, officials, employees, agents from and against any and all claims, losses, liabilities, damages, obligations, debts, costs, expenses including but not limited to lawyer’s fee developing from (1) Your data and results or user contents, (2) Your uses of our Services in violation of this agreement, (3) Your violation of any third party intellectual property right. You hereby approve to waive the application of any law or regulation that may limit the effectiveness of this agreement to defend and indemnify R&D Management Solution Inc. and its affiliates, directors, officers, employees and agents.

Jurisdiction

Our Services and websites are governed by and are to be interpreted in accordance with the laws of Province of Ontario, Canada. Should it be unavoidable, both of us agreed to irrevocably submit to the non-exclusive jurisdiction of the courts of Ontario in Canada. You must ensure that your access to this website is not illegal or prohibited by laws that apply to You. The contents of our Services and websites relating to goods or services may not satisfy the laws of any other country. It is Your sole responsibility to determine whether these issues satisfy the laws of the jurisdiction where you are living and if the details do not satisfy the laws of Your jurisdiction, You may not subscribe to any of our Services or access to our websites.

General

These Terms of Uses establish the complete agreement between You and R&D Management Solution Inc. regarding the uses of our websites and/or the Services, overriding any prior agreements between You and Us relating to Your uses of our websites and/or the Services. We accept no liability for any failure to comply with these "Terms of Uses" where such failure is due to circumstances beyond our reasonable control including without limitation, acts of God, acts of government, fire, flood, earthquakes, civil unrest, strikes or other labor problems (other than those involving Our employees), acts of terror, or Internet service provider failures or delays etc . If we waive any right or provision available to us under these "Terms of Uses" on one occasion, this shall not constitute an automatic waiver of such right or provision in that or any other instances. If any of these terms and conditions is held to be invalid, unenforceable or illegal for any reason, the remainder of this Agreement shall still continue in full force and effect.
